Terms of Service

Agreement and Scope

Effective date: January 20, 2026.

These Terms of Service govern access to and use of the Leucadia website and the Leucadia platform (the Services).

If you enter into an order form, subscription agreement, or other written contract with Leucadia, that agreement controls for any conflict with these Terms.

Eligibility and Authority

You must be at least 18 years old and have the authority to bind your organization to these Terms.

You are responsible for ensuring that all authorized users comply with these Terms.

Accounts and Access

You must provide accurate information when creating accounts and keep account credentials secure.

You are responsible for all activity under your accounts and must promptly notify us of any unauthorized access or security incident.

We may suspend or disable accounts to protect the Services or enforce these Terms.

Permitted Use and Restrictions

You may use the Services only for lawful business purposes and in accordance with applicable laws and regulations.

• Do not access or use the Services to build or support a competing product or service.
• Do not reverse engineer, decompile, or attempt to discover source code or underlying models or algorithms.
• Do not circumvent or disable security features, access controls, or usage limits.
• Do not interfere with the Services, including by introducing malware, scraping, or automated access that degrades performance.
• Do not access data that you do not have permission to access or attempt to bypass tenant boundaries.
• Do not use the Services to transmit unlawful, infringing, or harmful content.

Customer Responsibilities

You are responsible for Customer Data and for obtaining all required consents and notices for collection, recording, and processing of communications.

You must ensure that Customer Data is accurate, lawful, and does not violate third-party rights.

You are responsible for configuring retention, access controls, and user permissions in accordance with your policies and applicable law.

Subscriptions, Fees, and Taxes

Fees, subscription terms, and payment schedules are set forth in an applicable order form or written agreement.

Fees are nonrefundable except as expressly stated in a written agreement.

You are responsible for applicable taxes, duties, or government charges, excluding taxes based on Leucadia net income.

We may suspend Services for nonpayment after providing notice, as allowed by law and contract.

Service Availability and Changes

We may update, modify, or discontinue portions of the Services from time to time.

Scheduled maintenance and unplanned outages may occur. Any service level commitments must be set forth in a written agreement.

Data Processing and Security

Leucadia processes Customer Data on behalf of customers as a service provider or processor, as applicable.

We maintain security controls designed to align with SOC 2 expectations, including encryption in transit and at rest, role-based access, logging, monitoring, vulnerability management, and incident response procedures.

A data processing addendum may apply where required, and confidentiality obligations apply to Customer Data.

Intellectual Property

Leucadia and its licensors own all rights in the Services, software, documentation, and related intellectual property.

You retain ownership of Customer Data. You grant Leucadia a limited license to host, process, transmit, and display Customer Data to provide and improve the Services.

Leucadia may use de-identified and aggregated data for analytics, benchmarking, and service improvement.

Feedback

If you provide feedback or suggestions, you grant Leucadia a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or obligation.

Third-Party Services

The Services may interoperate with third-party services. Your use of third-party services is subject to their terms, and Leucadia is not responsible for third-party services.

Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and used only to perform obligations under these Terms.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained without restriction.

Term and Termination

These Terms apply while you access the website or Services. Subscription terms are defined in applicable order forms or agreements.

We may suspend or terminate access for violations of these Terms or to address security risks.

Upon termination, access to the Services will end and Customer Data will be returned or deleted as described in the applicable agreement.

Warranties and Disclaimers

Except as expressly stated in a written agreement, the Services and website are provided on an as-is and as-available basis.

Leucadia disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

Limitation of Liability

To the maximum extent permitted by law, Leucadia is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

Leucadia total liability for any claim related to the Services will not exceed the fees paid or payable by you to Leucadia for the Services in the twelve months preceding the event giving rise to the claim.

Indemnification

You will indemnify and hold harmless Leucadia from any claims, damages, and expenses arising out of your use of the Services, your Customer Data, or your violation of law or third-party rights.

Compliance With Laws

You are responsible for complying with applicable laws and regulations, including privacy, recording, and export control laws.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any legal action arising from these Terms must be brought in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there.
